By engaging Deep Aspects for any service, you agree to the following terms. These terms govern the professional relationship between you ("Client") and Deep Aspects ("Service Provider", "we", "Shameer").

1. Services

Deep Aspects provides digital product engineering services including web development, mobile application development, AI/ML integration, UI/UX design, and related consulting.
The specific scope of services, deliverables, timelines, and pricing are defined in a separate Project Agreement or Proposal signed by both parties before work begins.

2. Payment Terms

Milestone-based billing: Typically 40% upfront, 30% at mid-project milestone, 30% on final delivery.
Payment methods accepted: UPI, bank transfer, Wise (international).
If payment is delayed beyond 7 days from the agreed due date, work may be paused until payment is received.
All prices are in Indian Rupees (INR) unless otherwise specified in the project proposal.

3. Intellectual Property

Upon receipt of full payment, the Client receives complete ownership of all custom code, designs, and deliverables created specifically for their project.
Deep Aspects retains the right to use open-source libraries, frameworks, and third-party tools. Licenses for these tools belong to their respective owners.
Deep Aspects may reference the project as past work in its portfolio unless the Client explicitly requests otherwise or signs an NDA.

4. Revisions & Changes

Minor revisions (bug fixes, small design adjustments) are included in all plans.
Major scope changes (new features, architectural changes, additional pages beyond agreed scope) are treated as new work and quoted separately.
Revision requests must be submitted within the post-launch support period specified in the project agreement.

5. Confidentiality / NDA

Deep Aspects treats all client information — business logic, user data, internal processes, and project details — as strictly confidential by default.
A formal NDA can be signed upon request before any project discussion begins.
This confidentiality obligation survives the completion or termination of any project.

6. Project Timeline

Timelines are estimates based on the agreed scope. Delays caused by the Client (late feedback, missing content, delayed payments) extend the timeline accordingly.
Deep Aspects will communicate any anticipated delays proactively.

7. Limitation of Liability

Deep Aspects's total liability for any claim arising from a project shall not exceed the total fees paid for that specific project.
We are not liable for indirect, consequential, or incidental damages.
We are not responsible for third-party service outages (hosting, APIs, payment gateways) beyond our control.

8. Termination

Either party may terminate a project with 7 days written notice.
On termination, the Client pays for all work completed up to the termination date.
All completed deliverables are handed over upon receipt of outstanding payment.

9. Governing Law

These terms are governed by the laws of India.
Any disputes shall be resolved in the jurisdiction of Tamil Nadu, India.
